Summary of Bylaws


With intensions to increase the knowledge and insights of general public and exaltation of the national culture; in accordance with the cultural goals as defined by the constitution of Islamic republic of Iran; with recognition and in observation of national laws and regulations governing cultural centers and organizations, and according to the conditions and definitions defined in this document, the Center For Advancement Of Women(Karaj villages) has been established.

The Center is a non-commercial, non-profit, and non-political organization which is not affiliated with any group or society. Nationality of the center is Iranian, and duration of the activities of the Center from the date of its official permit and establishment is unlimited.

The initial capital sources of income and the budget of the center is as follows:

  • The sum of 500,000.00 Rials has been paid by the founding members as the initial capital.
  • Cash contributions and capitals to be donated by the founding members, as well as other individuals or legal entities, and any presents endowments or wills.
  • The earnings arising from membership fees for any legal and permitted activities of the Center.

All the activities of the center shall be non-political and non-profit and according to all laws and regulations of the Islamic republic of Iran and those stated in this bylaws. The goals of the Center include betterment and advancement of educational, social and ultimately economical conditions of women of the Karaj villages. The goals of the Center will be achieved through the following studies and actions:

  • Recognition of the social weaknesses caused by cultural deficiencies and social ignorance.
  • Recognition of potential and capabilities of women of the villages and increasing their self confidence and creating job opportunities for them.
  • Offering suitable educational programs and moral support to increase the level of awareness, as well as creation and increase of specialties and individual skills.
  • Offering educational scholarships for the advancement of women’s educational levels.
  • Offering free legal services.
  • Offering free medical services and consultations.

Membership conditions:

  • Female
  • Minimum level of education: high school diploma.
  • Interested in advancement of women and having the necessary potentials for the related activities.

Types of membership:

  • Main membership.
  • Honorary membership.

Pillars of the Center are:

  • National assembly.
  • Board of directors.
  • Managing director.
  • Auditors

Responsibilities of the National Assembly:

  • Electing the members of the Board of Directors.
  • Hearing of the report of the Board of Directors and Auditors.
  • Determining the strategies of the Center.
  • Reviewing the proposals of the Board of Directors and approving or rejecting them.
  • Approval of the balance sheet and annual budget of the Center.
  • Determining the official newspaper for publishing Centers’ invitation and memoranda.

General Assemblies will be managed by a board made of a chairwoman, a secretary and a witness.

Board of Directors: The Center has a Board of Directors consisting of five main members and two replacement members (in case of death, resignation, or incapacitation of one member). The Board of Directors is chosen for a term of two years.

Managing director: Is chosen by the Board of Directors and is responsible for the implementation of the decisions of the General Assembly and Board of Directors. Wages and salaries of the Managing Director is determined by the Board of Directors.

Auditors: Normal general assembly chooses one main auditor and one replacement auditor.

All the correspondence, documents and files of the center will be held at the general office of the Center. Board of Directors determines the valid signatures for the official correspondences of the Center.

Center for Advancement of Women is required to inform the related authorities who have issued the permits of the Center of any changes in their bylaws, office location and Board Members.

Center for Advancement of Women has a specific logo and seal approved by the Board of Directors and is required to send them to the related authorities for their information.

The Board of Directors has legal responsibilities for securing and safeguarding the logo and official seal.

Dissolution: In case of dissolution of the Center, the extra ordinary meeting of General Assembly will elect a minimum of three persons as the members of a dissolution committee who shall be responsible to look over all the accounts, to collect any due payments and to pay off any remaining loans. Any remaining capital in the forms of cash or other assets, after approval of the ordinary general assembly and under the supervision of the related authorities, will be transferred to non profit organization being active inside the country. This committee has to report the results to the authorities who issued the original permit for the center.

Publication of any material will be effected only after receiving necessary permits from the ministry of education and guidance and with complete observation of any related publishing laws.

Any points not foreseen in this document shall be governed by applicable general laws of business in the country.
